About the Filings

The 40-F Registration Statement was prepared under the SEC’s Multijurisdictional Disclosure System, which allows eligible Canadian issuers to register securities with the SEC using Canadian disclosure documents. Under the MJDS, NuRAN would be able to satisfy a significant portion of its U.S. reporting obligations by filing with the SEC the annual disclosure documents it is already required to prepare for Canadian regulatory authorities. The Shelf Prospectus was filed on a confidential basis with the BCSC pursuant to National Instrument 44-102 Shelf Distributions.
